Terms of Service & User Agreement

Effective Date: March 31, 2026

Welcome to the tradeGIST Add-on (the "Add-on") for Google Sheets™. This Add-on is designed to help users track their stock, crypto, and options investments by parsing transactions, matching trades, generating dashboards, summaries, and trade sheets, and handling tax implications and currency conversions. By using the Add-on, you agree to these Terms of Service ("Terms").

1. Acceptance of Terms

These Terms govern your access to and use of the Add-on. By installing, accessing, or using the Add-on, you confirm that you have read, understood, and agree to be bound by these Terms.

2. Description of Service (Public Beta)

The Add-on is currently in a "Public Beta" phase. This means the service is provided for testing, evaluation, and feedback purposes. We reserve the right to modify, update, or discontinue features of the Beta service at any time to improve the product.

3. Fees and Payments

During this initial Public Beta phase, the Add-on is provided to users at no cost ($0). We reserve the right to introduce fees, subscriptions, or one-time payments for future non-beta versions of the Add-on. Any transition to a paid model will be communicated to users in advance, and you will not be charged without your explicit consent and transition to a paid tier.

4. User Responsibilities

You are responsible for the accuracy of the data you input. You must comply with all applicable laws, including tax and financial reporting requirements in your jurisdiction. You agree not to misuse the Add-on, attempt to circumvent its security, or reverse engineer its code.

5. Data Ownership and Portability

You own your data. All transaction logs, trade history, and financial information entered into the Google Sheets™ template remain your exclusive property. The Add-on acts only as a processing tool within your spreadsheet environment.

In the event that the Public Beta ends, the Add-on is discontinued, or you choose to stop using the service, your data remains accessible within your Google Sheets™ file. You retain the absolute right to export, copy, or migrate your transaction logs to any other platform or tool at any time. We do not "lock" your data or prevent you from accessing your own records.

6. Data and Privacy

The Add-on processes data locally within your Google Sheets™ file. It makes authorized external requests only to fetch necessary market data (stock prices, crypto rates). Our use of data is governed by our Privacy Policy. We do not store your personal transaction logs on our servers, nor do we sell or share your personal financial information.

7. Intellectual Property

While you own your data, the Add-on itself—including its scripts, custom formulas, and dashboard designs—is the intellectual property of Sébastien Loix. You are granted a limited, non-transferable license to use these tools for your personal or internal business purposes.

8. Disclaimer of Warranties

THE ADD-ON IS PROVIDED "AS IS" AND "AS AVAILABLE," ESPECIALLY DURING THIS BETA PERIOD. SÉBASTIEN LOIX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE ADD-ON WILL BE ERROR-FREE OR THAT DATA CALCULATIONS WILL ALWAYS BE 100% ACCURATE FOR TAX OR LEGAL PURPOSES.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SÉBASTIEN LOIX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR INVESTMENT LOSSES ARISING FROM THE USE OR INABILITY TO USE THE ADD-ON (OR FROM ANY RELIANCE PLACED BY YOU ON THE ACCURACY OR COMPLETENESS OF TAX-RELATED CALCULATIONS, IF ANY).

10. Indemnification

You agree to indemnify and hold harmless Sébastien Loix from any claims, losses, or damages arising from your use of the Add-on, violation of these Terms, or infringement of third-party rights.

11. Termination

We may suspend your access to the Add-on immediately and without notice in the event of a violation of these Terms. For any other reason (including the conclusion of the Beta period), we will provide reasonable notice before terminating access. Upon termination, your data remains in your Google Sheet™, but the Add-on's processing features will cease to function.

12. Governing Law

These Terms shall be governed by the laws of Andorra, without regard to conflict of laws principles. Any disputes shall be resolved in the courts of Andorra.

13. Changes to Terms

We may modify these Terms at any time. Changes will be posted here, and your continued use signifies acceptance.
