Terms of Service & User Agreement

Welcome to the tradeGIST Add-on (the "Add-on") for Google Sheets™. This Add-on is designed to help users track their stock, crypto, and options investments by parsing transactions, matching trades, generating dashboards, summaries, and trade sheets, and handling tax implications and currency conversions. By using the Add-on, you agree to these Terms of Service ("Terms").

1. Acceptance of Terms

These Terms govern your access to and use of the Add-on. By installing, accessing, or using the Add-on, you confirm that you have read, understood, and agree to be bound by these Terms. You must be at least 18 years old to install or use the Add-on.

2. Description of Service

The Add-on helps you track and analyze your investments within Google Sheets™. We reserve the right to modify, update, or discontinue features of the service at any time to improve the product.

3. Fees, Payments and Renewal

The Add-on includes a 14-day Pro trial, granted once per Google account and starting the first time the Add-on is run. The trial requires no payment details, no license key and no registration. At the end of the 14-day period, the trial converts automatically to the free tier described below — not to a paid plan — and no charge is made. No payment is ever taken without an explicit purchase made by the user.

The Add-on is offered under a free tier as well as paid Starter and Pro licenses. Paid licenses are annual subscriptions: the license fee is billed once per year, and the subscription renews automatically at the end of each yearly period unless cancelled before the renewal date. We send you a reminder email a few days before each renewal. You can cancel at any time directly from the License section of the Add-on's settings or, alternatively, through Creem's Customer Portal — the link is also included in your purchase receipt email; sign in with the email you used at purchase. Cancellation stops the next renewal, and your license remains active until the end of the period you have already paid for.

All purchases are made through Creem (creem.io), which acts as merchant of record: Creem is the seller of record for the transaction and handles payment processing, invoicing, and applicable taxes such as VAT. Your purchase is also subject to Creem's Buyer Terms.

We reserve the right to change pricing or the terms of any plan, and any such change will be communicated to users in advance. You will not be charged without your explicit consent.

4. Refunds and Right of Withdrawal

Initial purchase: You may request a full refund within 14 days of your first purchase of a license, for any reason, wherever you live. When an initial purchase is refunded, the license is deactivated.

Annual renewals: If your subscription renews and you did not intend it to, you may request a refund of that renewal charge within 14 days of the charge. A renewal refund covers only the renewal charge itself; it does not refund any earlier period. Your license remains active until the end of the period you had already paid for, and reverts to the free tier at that point. The reminder email described in Section 3 is sent ahead of each renewal so you can cancel before being charged.

To request a refund, contact us using the form on the contact page or reply to your purchase receipt email. Refunds are issued by Creem, as merchant of record, to your original payment method.

If you are a consumer in the EU, EEA, or UK, you may additionally have a statutory right of withdrawal for distance purchases. Nothing in these Terms limits your statutory rights; this refund policy applies in addition to them. The sale itself is concluded with Creem as merchant of record under Creem's Buyer Terms.

5. User Responsibilities

You are responsible for the accuracy of the data you input. You must comply with all applicable laws, including tax and financial reporting requirements in your jurisdiction. You agree not to misuse the Add-on, attempt to circumvent its security, or reverse engineer its code.

6. Data Ownership and Portability

You own your data. All transaction logs, trade history, and financial information entered into the Google Sheets™ template remain your exclusive property. The Add-on acts only as a processing tool within your spreadsheet environment.

In the event that the Add-on is discontinued, or you choose to stop using the service, your data remains accessible within your Google Sheets™ file. You retain the absolute right to export, copy, or migrate your transaction logs to any other platform or tool at any time. We do not "lock" your data or prevent you from accessing your own records.

7. Data and Privacy

The Add-on processes data locally within your Google Sheets™ file. It makes authorized external requests to fetch market data (crypto, options, and FX rates; stock prices come from native GOOGLEFINANCE formulas) and to verify your license with our licensing service. Our use of data is governed by our Privacy Policy. We do not store your personal transaction logs on our servers, nor do we sell or share your personal financial information.

8. Third-Party API Keys

Crypto and options pricing requires API keys that you obtain yourself from CoinMarketCap and Massive.com, and your use of those services is subject to their own terms, privacy policies, and rate limits. Some of these services require a paid subscription obtained directly from the provider, billed separately by that provider and not included in the tradeGIST license fee. The Add-on stores your keys only within your own Google Sheets™ document, as document settings, and uses them only to request market data on your behalf. Tulsisphere LLC is not responsible for the availability, accuracy, or pricing changes of these third-party services.

9. Intellectual Property

While you own your data, the Add-on itself—including its scripts, custom formulas, and dashboard designs—is the intellectual property of Tulsisphere LLC. You are granted a limited, non-transferable license to use these tools for your personal or internal business purposes.

10. Disclaimer of Warranties

THE ADD-ON IS PROVIDED "AS IS" AND "AS AVAILABLE." TULSISPHERE LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE ADD-ON WILL BE ERROR-FREE OR THAT DATA CALCULATIONS WILL ALWAYS BE 100% ACCURATE FOR TAX OR LEGAL PURPOSES.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TULSISPHERE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR INVESTMENT LOSSES ARISING FROM THE USE OR INABILITY TO USE THE ADD-ON (OR FROM ANY RELIANCE PLACED BY YOU ON THE ACCURACY OR COMPLETENESS OF TAX-RELATED CALCULATIONS, IF ANY).

12. Indemnification

You agree to indemnify and hold harmless Tulsisphere LLC from any claims, losses, or damages arising from your use of the Add-on, violation of these Terms, or infringement of third-party rights.

13. Termination

We may suspend your access to the Add-on immediately and without notice in the event of a violation of these Terms. For any other reason (including the discontinuation of the Add-on), we will provide reasonable notice before terminating access. Upon termination, your data remains in your Google Sheet™, but the Add-on's processing features will cease to function.

14. Governing Law

These Terms shall be governed by the laws of the State of Wyoming, United States, without regard to conflict of laws principles, and disputes shall be resolved in the courts of Wyoming.

If you are a consumer habitually resident in the European Union, the European Economic Area, or the United Kingdom, this choice of law does not deprive you of the protection of the mandatory consumer-protection provisions of the law of your country of residence, and you may also bring proceedings in the courts of that country.

15. Changes to Terms

We may modify these Terms at any time. Changes will be posted here, and your continued use signifies acceptance.
